These Terms & Conditions (“Terms”) govern your use of Salt & Pixel Studio websites, services, products, client portal, and related offerings.
By purchasing services, submitting payment, approving a proposal, creating a client account, or otherwise engaging Salt & Pixel Studio (“Salt & Pixel Studio,” “we,” “us,” or “our”), you agree to these Terms.
If a signed proposal, service agreement, order form, or other written agreement contains terms that differ from these Terms, the terms of that specific agreement will control for that project.
Our Services
Salt & Pixel Studio provides website and digital services primarily for restaurants, bars, cafés, food trucks, and other food-service businesses.
Services may include:
Website design and development
Website hosting and maintenance
Digital menu development and management
Online ordering integrations
POS integrations
Reservation integrations
Search engine optimization and local SEO services
Google Business Profile assistance
Domain, hosting, and other technical support
Other related digital services described in your selected package, proposal, or agreement
The exact services included in your project depend on the package, proposal, checkout selection, or written agreement you accept.
Quotes, Proposals, and Pricing
Prices displayed on our website or provided in a proposal are based on the scope of work described at the time.
Additional work, features, integrations, revisions, custom development, content entry, or services outside the agreed scope may require an additional fee.
Salt & Pixel Studio may update its pricing at any time. Changes to public pricing do not retroactively change the price of services already purchased unless otherwise stated in a written agreement.
Third-party costs are separate unless specifically stated as included.
These may include:
Domain registration or renewal fees
Third-party hosting
Premium plugins, software, or licenses
POS or online ordering platform fees
Payment processing fees
Reservation platform fees
Stock photography, fonts, or other licensed assets
Payment
Payment terms are provided during checkout, in your proposal, or in your service agreement.
You agree to provide accurate billing information and authorize the applicable payment processor to charge the payment method you provide for amounts you have agreed to pay.
Salt & Pixel Studio may pause work, hosting, maintenance, support, or other services when an account has an unpaid balance.
Payments for work or services already performed are not credited toward unrelated future services unless we agree otherwise in writing.
Website Care
Certain Salt & Pixel Studio website packages are available with ongoing Website Care.
Website Care may include services such as:
Website hosting
WordPress, theme, and plugin updates
Routine website maintenance
Technical support
Services specifically included with the client’s selected Website Care plan
Website Care does not automatically include unlimited redesigns, new pages, custom development, new integrations, major content entry, or services outside the client’s selected package.
Additional work may be quoted separately.
Website Care Commitment
Website Care plans include an initial 12-month commitment unless a different term is stated in writing.
After the initial 12-month commitment is completed, Website Care continues on a month-to-month basis unless canceled.
If a client cancels Website Care during the initial 12-month commitment and wants to retain the website as a self-managed website, the client must pay the difference between the original Website Care setup price paid and the current price of the equivalent self-managed website.
Monthly Website Care payments already made are not applied toward this conversion amount because those payments paid for hosting, maintenance, support, and other Website Care services already provided.
Self-Managed Websites
Clients purchasing a self-managed website are responsible for the ongoing operation and maintenance of the website after the project is completed and transferred.
This may include responsibility for:
Website hosting
Domain renewals
WordPress updates
Theme and plugin updates
Backups
Security monitoring
Content changes
Troubleshooting and repairs
If Salt & Pixel Studio is building a self-managed website on hosting owned or selected by the client, the client must provide the account information and access reasonably necessary for us to perform the work.
Salt & Pixel Studio is not responsible for downtime, data loss, security issues, compatibility problems, or other issues caused by hosting providers, plugins, software, changes, or services outside our control after a self-managed website has been transferred.
Clients may request additional support from Salt & Pixel Studio after transfer. Additional work may be billed separately.
Hosting
Hosting is included only when expressly stated as part of the client’s package, Website Care plan, or purchase.
Clients who purchase hosting separately from Salt & Pixel Studio are responsible for applicable hosting fees and renewal charges.
If a client chooses to use another hosting provider, the client is responsible for maintaining that hosting account and providing Salt & Pixel Studio with the access necessary to build, migrate, troubleshoot, or launch the website.
Salt & Pixel Studio cannot guarantee the availability, performance, security, backups, support, or reliability of third-party hosting companies.
Client Responsibilities
Successful completion of a project requires timely cooperation from the client.
You agree to provide information and materials reasonably necessary for us to complete your project, including when applicable:
Business information
Menus and pricing
Logos and branding materials
Photos and other content
Domain or hosting access
POS, ordering, reservation, or third-party platform access
Feedback and approvals
You are responsible for reviewing information provided to Salt & Pixel Studio for accuracy.
You are also responsible for reviewing your website before final approval and promptly notifying us of any corrections.
Delays in providing materials, account access, feedback, approvals, or other required information may delay the project timeline.
Account Access and Credentials
Some services require temporary or ongoing access to third-party accounts such as hosting, domain, Google, POS, online ordering, reservation, email, or other technology platforms.
You authorize Salt & Pixel Studio to access accounts you voluntarily provide solely for the purpose of performing requested services.
You are responsible for ensuring that you have authority to provide us with that access.
We recommend changing shared passwords or removing access when access is no longer required.
Client Content
You retain ownership of content you provide to Salt & Pixel Studio, including your business name, logo, photographs, menu information, written content, and other materials owned by you.
By providing content to us, you grant Salt & Pixel Studio permission to use, reproduce, modify, format, and publish that content as reasonably necessary to perform the services you requested.
You represent that you have the legal right to use and provide any content you submit to us.
You are responsible for obtaining any licenses, permissions, releases, or other rights required for content you provide.
Salt & Pixel Studio is not responsible for copyright, trademark, privacy, publicity, or other claims resulting from client-provided materials.
Salt & Pixel Studio Materials
Unless otherwise agreed in writing, Salt & Pixel Studio retains ownership of its pre-existing tools, software, systems, frameworks, plugins, processes, reusable code, methodologies, templates, and other intellectual property used to create or support client projects.
Purchasing a website does not transfer ownership of Salt & Pixel Studio’s underlying proprietary systems or reusable technology.
Upon full payment, clients receive the rights to use the completed website and project deliverables as provided under their package or agreement.
Third-Party Services and Integrations
Salt & Pixel Studio may integrate websites with third-party services such as:
POS systems
Online ordering platforms
Payment processors
Reservation platforms
Google services
Social media platforms
Analytics services
Email providers
Other third-party software and services
Third-party services are operated independently from Salt & Pixel Studio.
We do not control their availability, pricing, policies, APIs, features, security, approval requirements, or technical changes.
Salt & Pixel Studio is not responsible for a third-party provider discontinuing a feature, changing its API, changing pricing, suspending an account, experiencing downtime, or making another change that affects an integration.
Work required because of a third-party platform change may be considered additional work.
POS and Online Ordering Integrations
Where applicable, Salt & Pixel Studio may connect a client’s website to supported POS or online ordering systems.
The client is responsible for maintaining active accounts, subscriptions, permissions, product data, tax settings, fulfillment settings, merchant accounts, and any other requirements imposed by the applicable provider.
Salt & Pixel Studio does not control or guarantee approval by any POS, payment processor, reservation provider, delivery service, or other third-party platform.
Clients are responsible for reviewing orders, menu information, prices, taxes, modifiers, availability, operating hours, fulfillment settings, and other business information for accuracy.
Project Timelines
Any project completion dates or timelines provided by Salt & Pixel Studio are estimates unless specifically guaranteed in writing.
Timelines may change because of:
Client delays
Changes to project scope
Third-party platform requirements
Technical complications
Delays in receiving content, approvals, credentials, or other required information
Circumstances outside Salt & Pixel Studio’s reasonable control
Revisions and Scope Changes
The number and type of revisions included in a project depend on the client’s selected package or written agreement.
A revision generally means a reasonable change to work already created within the approved scope.
Requests that materially change the project’s structure, functionality, design direction, integrations, content requirements, or approved scope may be treated as additional work and quoted separately.
Website Approval and Launch
Clients are responsible for reviewing their website before launch or final approval.
Approval of a website indicates that the client has reviewed the site’s content, layout, functionality, contact information, menu information, pricing, hours, links, and other material information and considers it ready for publication.
Salt & Pixel Studio will make reasonable efforts to correct technical issues within the scope of the project that are reported during development or an applicable support period.
Search Engine Optimization
Salt & Pixel Studio may provide SEO, local SEO, Google Business Profile, structured data, content optimization, or related services.
Search engines and third-party platforms determine their own rankings and results.
Salt & Pixel Studio does not guarantee:
A specific Google ranking
A specific amount of website traffic
A particular number of leads, reservations, or orders
Placement in a particular search result or map position
Continued visibility following search engine algorithm changes
Portfolio and Promotional Use
Unless otherwise agreed in writing, Salt & Pixel Studio may display completed client work for portfolio, marketing, educational, social media, or promotional purposes.
This may include screenshots, links, business names, logos, or descriptions of the work performed.
We will not intentionally publish confidential information provided to us solely for internal project use.
Confidential Information
Salt & Pixel Studio will use reasonable care when handling confidential business information provided for the purpose of completing a project.
Information that is publicly available, independently developed, received lawfully from another source, or required to be disclosed by law is not considered confidential under this section.
Cancellation and Termination
A client may request cancellation of a project or service by contacting Salt & Pixel Studio.
Cancellation does not eliminate payment obligations for services already performed, expenses already incurred, third-party costs, or other amounts owed under an accepted proposal or agreement.
Website Care clients are also subject to the Website Care commitment and conversion terms described above.
Salt & Pixel Studio may suspend or terminate services when reasonably necessary, including for:
Nonpayment
Fraudulent or unlawful activity
Abuse of our services, systems, or personnel
Material violation of these Terms or another agreement
Activity that creates a security, legal, or technical risk
Where reasonably possible, we will attempt to provide notice before terminating ongoing services.
Refunds
Payments for completed work, services already performed, Website Care already provided, third-party expenses, and nonrecoverable project costs are generally not refundable.
Any additional refund or cancellation terms displayed during checkout or included in a proposal, service agreement, or separate refund policy also apply.
No Guarantee of Business Results
Salt & Pixel Studio provides website, technology, marketing, and related services designed to improve a client’s digital presence and customer experience.
However, we cannot guarantee a specific business result.
We do not guarantee any particular level of:
Revenue
Sales
Online orders
Reservations
Website traffic
Search visibility
Customer acquisition
Business results depend on many factors outside our control.
Disclaimer of Warranties
Salt & Pixel Studio will perform services with reasonable care and professionalism.
However, websites, software, integrations, hosting systems, internet services, and third-party platforms can experience bugs, outages, compatibility problems, security incidents, or other interruptions.
Except as expressly stated in writing and to the fullest extent permitted by law, services are provided without additional warranties, express or implied.
Limitation of Liability
To the fullest extent permitted by applicable law, Salt & Pixel Studio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to our services.
This includes, without limitation, loss of profits, loss of revenue, loss of business opportunities, loss of data, interruption of operations, missed orders, missed reservations, or losses caused by third-party services.
To the fullest extent permitted by law, Salt & Pixel Studio’s total liability arising from a particular service or project will not exceed the amount paid to Salt & Pixel Studio for the service giving rise to the claim.
Some jurisdictions may not allow certain limitations, so portions of this section may not apply in every circumstance.
Indemnification
To the extent permitted by law, you agree to indemnify and hold Salt & Pixel Studio harmless from claims, damages, liabilities, costs, or expenses arising from:
Content or materials you provide
Your products, services, business operations, or customer interactions
Your violation of applicable law
Your violation of third-party rights
Your misuse of services provided by Salt & Pixel Studio
Force Majeure
Salt & Pixel Studio is not responsible for delays or failures caused by circumstances reasonably outside our control.
These may include natural disasters, severe weather, internet or utility outages, hosting failures, cyberattacks, third-party platform outages, labor disruptions, government actions, emergencies, or other similar events.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute arising from these Terms or services provided by Salt & Pixel Studio will be handled in an appropriate court with jurisdiction in Florida unless another dispute process is required by a separate written agreement or applicable law.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
No Waiver
If Salt & Pixel Studio does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.
Changes to These Terms
Salt & Pixel Studio may update these Terms periodically to reflect changes to our services, business practices, technology, or legal requirements.
When these Terms are updated, the “Last Updated” date at the top of this page will be revised.
Changes will apply prospectively unless otherwise required by law or agreed in writing.
